TERMS & CONDITIONS

1.Basis of Contract

1.1 These terms set out the whole agreement between you ('you' stands for 'The Customer') and us ('us' and 'The Company' stand for Natural Angle Ltd) for the sale of goods. Please read and understand these terms and check that you agree to these terms and your order is complete and accurate before you commit yourself to the contract. You will be bound by these terms once a contract comes into existence between us in accordance with Clause 1.4.

1.2 You order and agree to buy, and we agree to sell the Goods at the Price, subject to these terms and conditions.

1.3 Products which are not standard and are therefore specifically ordered for you or fabricated for you must be paid for in full before the order/fabrication will be processed and cannot be cancelled after the order/fabrication process has started.

1.4 Prices and delivery charges are those that are in force at the time you submit your order. If the prices or charges are different to those published, this will be brought to your attention before we accept your order, giving you the option to cancel should you wish.

1.5 You should be aware that certain goods require a level of treating and aftercare. Some may easily be scratched and/or be subject to natural pitting/chipping. Entering into the agreement is acceptance of the above.

2.Conditions Applicable

2.1 These terms are the express terms and conditions governing the Agreement.

2.2 There cannot be a variation or change to anything in these Terms and Conditions unless it is agreed in writing and signed by both parties.

2.3 In placing an order with us, you warrant that you have the necessary permission and authority to enter into this Agreement.

It is your responsibility to check that all the details relating to your order are correct and to provide us with all relevant information relating to the environment in which the Goods are intended to be used and for their delivery.

2.4 It is important that you check your measurements carefully. An order should always include an additional 10% to allow for wastage to cover cutting, minor imperfections, as could be expected with the type of stone and finish ordered, and breakage. If you do not order enough, subsequent goods (as they are a naturally occurring product) may not be exactly the same as the original goods.

2.5 We can provide estimates of quantities of goods but this will be based on general guidelines and the measurements which you have supplied. It is your responsibility to provide accurate measurements to ensure that the correct quantities of goods are ordered. You should therefore seek professional advice as variations in surfaces and angles may affect the quantities required. We will not be responsible for any shortfalls or surpluses. Surplus goods are not returnable or refundable.

2.6 Where you are acting other than as a consumer, you confirm that you are not entering into this Agreement on the basis of, or relying on, any representation made to you by us that is not expressly incorporated into this Agreement in writing and signed by both of us.

2.7 As we have not carried out a survey or inspection of the installation site of the Goods, we cannot give any warranty as to the suitability of the Goods for that, or any other given environment. If you are acting other than as a consumer, you cannot rely on any implied or express representation, advice or information given to you by us that is not incorporated into the Agreement and signed by both of us.

2.8 We cannot be held responsible for circumstances beyond our reasonable control. This may include (without limitation) shortfalls at source, natural disasters and restraints or delays affecting suppliers or transportation to us. We will endeavour to notify you as soon as possible should these problems occur.

2.9 We strongly advise you not to book your installation until you have received your order in full and you have inspected the goods.

2.10 We will not be responsible for fitting costs or penalties relating to delayed deliveries.

2.11 We will not be responsible for any lead time changes for any products from when a proforma is issued and paid for. We will do our utmost to inform you if possible.

2.12 In the case of Business Sales, you confirm that these are the only terms of the agreement between us and any provisions upon which you purport to purchase including those on any of your purchase order, or confirmation of order or similar documents or forms do not apply to this agreement between us.

3.Description and samples

3.1 All descriptions, images (in both print and on the internet) and samples of our Goods are for the purpose of giving an approximate representation of the Goods only.

3.2 You acknowledge that the Goods are natural and geological variations will occur in terms of colour, markings, texture, size and between consignments, which are beyond our control. We advise you to view as much of the Goods as possible before entering into this Agreement.

3.3 You should be aware that all of the Goods are porous to some degree and should be sealed. Some may easily be scratched and/or be subject to natural pitting/chipping.

4.Pricing and Payment

Business Sales

4.1 If you are a registered business please contact us with your project for a bespoke quote. Trade prices apply. All trade prices are exclusive of any value added tax.

Consumer Sales

4.2 The Price is the price indicated as inclusive or exclusive of any value added tax, depending on your selection on the website. In any case the price excludes delivery charges, which you must pay in addition.

All Sales

4.3 We reserve the right to change the Price by giving you notice at any time before delivery to reflect any increase in the cost to us such as foreign exchange fluctuations, alteration of duties, increase of the costs of materials and such like. If we change the price and you are not happy with it, you will be able to cancel your order.

4.4 Products which are not standard and are therefore specifically ordered for you or are fabricated for you cannot be cancelled after the order/fabrication process has started. If we do agree to cancel the order, you will be liable for any reasonable costs incurred. All end of line items are heavily discounted and are non-refundable.

4.5 Payment is required on placement of your order. Please note that we will not arrange delivery until we are in receipt of cleared funds. Payment of all goods must be made in advance by BACS Payment, Credit or Debit card. We accept payment with Visa, MasterCard and Maestro payment cards.

Failure to pay will unfortunately result in delivery being delayed until funds are received. No deviation from the above payment terms is permissible. If you delay your delivery, the payment will still be due, unless otherwise agreed in writing. We reserve the right to charge interest on any outstanding or overdue payments at 3% above the current UK base rate. In the event of late or non-payment and without affecting any other rights or remedies of The Company, we shall be entitled to either suspend delivery of the goods and their installation without notice and charge interest until all amounts owing (including accrued interest) have been paid in full or terminate the contract by notice to you in writing. Failure to pay within this time will result in the debt being passed to our collection company.

4.6 If required, we can store purchased items in our warehouse until they are required. Storage is free of charge for the first three weeks from the day of purchase. After three weeks, every beginning week is charged at £6,00 per pallet, per week.

 

TERMS & CONDITIONS

TEMPLATING AND FITTING

Our quote is based on the information provided and is subject to the following terms & conditions, which shall be deemed to be incorporated in every contract made under such quotation or order for the supply of goods.

GENERAL.

(a) These terms and conditions shall apply to all trading between the Customer and us. Acceptance by us of your order is conditional upon your acceptance of the following conditions inconsistent therewith, express, implied or otherwise.

(b) Any variations of these conditions shall only be binding if agreed by a director in writing.

Quotations given are based on the information provided by the customers and are subject to change. The final price may change following templating if additional items are requested or if the initial information provided was not accurate. The Team will discuss with customers any changes to cost that may arise. Any missed appointments or appointment that requires a re-visit or the cancellation after the template are subject to £270 + VAT charge.

Our quotes are valid for 28 days from the date of our offer. However you may be able to secure the quote by paying a 50% deposit before the expiry of the 28 day period.

A final balance for fabricating and fitting and any additional items will then be due 48 hours prior to the material being cut. Failure to pay will unfortunately result in delivery being delayed until funds are received. No deviation from the above payment terms is permissible. If you delay your delivery, the payment will still be due, unless otherwise agreed in writing. Our quote is based on the template, fabrication, supply, delivery and fit being carried out during normal working hours which are Monday to Friday 8am to 5pm. An additional sum subject to an additional charged if any work is requested outside of these times to cover staff overtime costs.

1. Before template:

• The Customer must ensure before booking the template with us, that everything is ready for a template to be made, and all appliances and kitchen units must be completely fitted, level and secured so that no adjustments are made to the units following templating; (a) UNDERMOUNT sink is in place – rebated into the frame but not silicone’d in and with a bit of flexibility for accurate alignment at fit or DROP IN sink is available to be measured, (b) Hob is on site and available to be measured and any special instructions concerning the hob to be given and written down, (c) All panels that are to be added are in place, (d) All plastering to be completed before template or after fit; do not plaster between template and fit, (e) Packing for window sills and behind up-stands to be in place. The Customer will be liable for any costs incurred by any delay, reschedule of template and additional journeys, which may result.
• Any temporary fitted sinks and or work surfaces must be removed before templating can be carried out. New Hobs, sinks and taps should be available on site together with the templates where possible.

2. Templating:

• The owner or an appointed representative MUST be present during templating to agree all relevant details such as overhang, joints, height of up-stands & splash backs, required cut out and edge shapes. Unless specified (at time of template), we reserve the right to use our own judgement regarding all overhangs. In the event that you or the appointed representative is not present we take no responsibility whatsoever for any misinterpretations or accept no responsibility if these are later found to be unacceptable.  Our templating team will give you advise at this point with regard to any changes and additional work that would need to be carried out before fitting your new worktop.
• Following templating, if it is found that the furniture, to which the worktops are to be fitted, has been adjusted or moved in any way after our templating, then we may not be able to carry out the fitting. A further cost may be incurred should we have to re-make any of the pieces or re-take template.
• Changes after template: If any changes to the worktop’ design, you can email changes for review but you may need to approve these in person at our showroom. If this is not possible we can make arrangements for our template team to re-visit but this will be at an extra cost to you and may delay your fitting date.
Please note, changes are accepted only if we have not started fabrication. We will accept no responsibility if changes were requested after starting fabrication.

3. Materials:

• Marble and Granite are natural stone therefore its veining and pattern varies from batch to batch. We encourage all our customers to view the slabs, at the supplier sites, in person whenever possible. The Company will not accept any claims based on the variations apparent in Granite or Marble as natural stones. If a particular colour or finish is required we advise you to inspect the raw material prior to fabrication. Following fabrication we will not be held responsible if the material does not meet your exact requirement.
• After the template and before fabrication should you change your mind on the material ordered then a re-stocking fee will be charged for the exchange. The re-stocking fee will depend on the manufacturer's terms and we will of course advise you of the final amount for your consideration.
• After fabrication, should you change your mind on the material or cancel your order a full charge of template, supply and fabrication to be paid by the customer.
• When placing an order for a material which has an inconsistent pattern please note that we cannot guarantee how the pattern will match up at the joints or which way the veins will run. Please call the office if you wish to discuss this further.

4. Installation:

• Our lead time for fitting is 10 working days from date of template, subject to the material availability by the suppliers, provided the material has been chosen prior to template and %50 of full payment has been made. Natural Anlge Ltd sales representative will discuss with you the fitting date.
• The owner or a trusted representative MUST be present during fitting to sign the job satisfaction sheet when the job is complete. In the event that you or a trusted representative is not present we take no responsibility whatsoever if fitting are later found to be unacceptable.
• We require clear working areas free of hazards with no interference from other trades. There should be no clutter or other hindrances when our templators/fitters arrive on site. We cannot take responsibility for any damage when carrying worktops in.
• We recommended that the customer remove all kitchen doors before fitting to avoid any possible damage and allow a clear access route to the point of installation. Likewise, if you have installed new floor surfaces we recommend you take adequate precautions to cover and protect these in the areas we will be required to access.
• Customers are responsible for removal of old worktops unless otherwise agreed. If fitters need to carry out extra works on arrival an extra charge may be incurred, these will be discussed with customer prior to any work being undertaken.
• UNSATISFACTORY UNITS. The Company reserves the right to refuse to fit worktops to units they deem to be unsatisfactory and the Customer will be liable for any expenses incurred in reschedule of fit. Units found at a later date to be unsound in any way will be the responsibility of the Customer.
• CAULKING AND DECORATING. The Company shall take responsibility for the fit of the worktops and any up-stand/splash-back according to the Company’s usual practice. Responsibility for caulking and decorating after the worktop is fit shall remain with the Customer.
• We reserve the right to charge a minimum of £270 plus VAT for any additional trips or return visits that we are required to make if the site is not ready, there were unseen obstacles or if there were other trades requiring access to the same area.
• 90% of all work that would require cutting and polishing would be completed at our factory. However, some instances of grinding, cutting and polishing at the customers place are unavoidable. Our fitters will make every effort to keep this to a minimum and clean up after themselves but customers should be prepared for this and instruct the fitters where they are able to complete this work if necessary.

5. Following completion of the work:

• Following installation, we urge that you inspect the worktops carefully after fitting is complete. We will not be held responsible for any damage found after the fitters have left.
• Within five days from fitting customer must give notice to us of any matter or thing by reason whereof the Customer may allege that the goods are not in accordance with the order. If the Customer fails to give such notice the goods shall be deemed to be in all respects in accordance with the contract and the customer shall be deemed to have accepted the goods accordingly.
• All worktops require 24 hours for adhesives and silicon to cure. We therefore advise that you do not use the worktops, the cabinets or the drawers in the meantime.
• Stone worktops, whether made from natural (Marble and Granite) or man-made materials (Quartz) care should still be taken.

 

6. General terms:

• Templating and installation dates mentioned are approximate only and not of any contractual effect. Natural Angle shall not be under any liability to the customer in respect of any failure to deliver or complete on any particular date or dates. We shall not in any event be liable to compensate the customer in damages or otherwise for any non-delivery or late delivery of goods or for any loss consequential or otherwise arising therefrom.
• Templating and fabrication is not an exact science and slight tolerances in both overhangs and thickness may be observed, an industry standard 2 – 5mm tolerance is allowed for each measurement. However, Natural Angle will endeavour to the best of their ability to keep these tolerances to a minimum.
• Please note that we cannot guarantee that a single worktop can be manufactured to a length of more than 3000 MM without a joint. This will depend on the material selected. Our template’ team will discuss any joint with you on the template day.
• If you wish to change the template/fitting date we require a minimum of 24 hours notice otherwise we reserve the right to charge £270 plus VAT for re-booking/cancellation on the day.
• We will do our best to reschedule your job to your preferred date we cannot guarantee a date within 5 working days of the original booking.
• We do not undertake to deliver or collect any load over road or ground which in our judgment we consider to be unsuitable . If a vehicle used for performing our contract with any Customer delivers or collects a load to or from a place situated off the public highway the Customer is to be solely responsible for any damage or accident and is to indemnify usefully in respect thereof.
• SAMPLES. Samples submitted and illustrations/photographs in catalogues and literature must be accepted as showing type, class and general character only without warrantee or guarantee as to substance, performance, colour, size, thickness or shape.
• RETURNS. Where the Company supplies goods made to the customers own specifications, the Customer will be liable to recompense the Company for the cost of such goods if through no fault on the part of the Company the goods are no longer required by the Customer due to incorrect specifications being given by the Customer to the Company or any other cause.
• RELATIVE CUT-OUT DIMENSIONS. Rails either side of any cut-out must be no less than 60mm.
If the width of the cut-out is 600mm then the minimum is 60mm.
If the width of the cut-out is 700mm then the minimum is 70mm.
If the width of the cut-out is 800mm then the minimum is 80mm.
If the rails have to be narrower than the minimum and reinforcement bars are required they will be charged at £30.00 each.

7. Payment terms:

• 50% deposit is required at the time of order confirmation and must reach our account least 24h before the template date. Balance payment must be made 48h before the material is being cut.
• We reserve the right to refuse to execute any order or contract if the arrangements for payment or the Customers credit are not satisfactory to us or the Customer has other outstanding invoices to be paid to Natural Angle Ltd. In the case of non-payment of any account when due or in the case there shall be any fault or refusal on the part of the Customer to take due delivery of any goods or materials or in the case of death, incapacity, bankruptcy or insolvency of the Customer or where the Customer is a limited Company in the case of liquidation or the appointment of a receiver, then the purchase price of all goods and/or work invoiced and/or delivered by us to the customer to date shall immediately become due and payable from the Customer to us and in addition we are to have the right to cancel every contract made with the Customer or to suspend or continue delivery of goods and materials at our option without prejudice to our right to recover any loss sustained. Interest at the rate of 5% per annum above the bank base rate shall be payable in respect of all sums outstanding.
• The Customer shall not be entitled to withhold payment of any amount due to us by reason of any dispute or claim by the Customer in connection with the goods supplied nor shall the Customer be entitled to set off against any amount due to us any amount which is not then due and payable to us for which we dispute liability.

Delivery & Returns Policy

Where delivery of goods has been requested there will usually be a delivery charge added to your order. We do not make a profit on deliveries and you are always welcome to collect your order from our Sussex warehouse free of charge.

 

Delivery Charges

UK deliveries are either fulfilled by Stone Republic or by sub-contracted haulage companies. These companies are either part of the national pallet network or, for larger/unusual loads, local hauliers with specialist vehicles capable of loading and unloading large and heavy loads. Your invoice will specify the type of delivery being made in the "Ship via" field. This will say either "PALLET", "HIAB" or "STONE REPUBLIC". It is important that you read and understand the differences explained below.

 

Pallet Deliveries

Charges are calculated per pallet and the number of pallets in your order will vary according to the type and size of tiles you order. Each pallet has an upper weight limit of 850KG. Your delivery charge is calculated based on postcode, total weight and number of pallets. If Pallet delivery is specified then then the rate we have quoted you is guaranteed.

 

HIAB Deliveries

A HIAB is a lorry with a crane attached. HIAB deliveries are usually specified when a pallet delivery is either impossible, impractical uneconomical or where the material needs to be lifted over an obstruction such as a wall. Your delivery charge is calculated based on a number of factors including distance, time, weight/number of pallets and availability of a suitable vehicle. If HIAB delivery is specified then then the rate we have quoted you is an estimate. We will confirm the exact rate when the order is paid for and the delivery date is confirmed by you.

 

Stone Republic Deliveries

Smaller orders of stone slabs will usually be fulfilled by Stone Republic using a flatbed vehicle with an A-Frame. It is the Purchaser's responsibility to ensure that the necessary equipment and personnel are available at the delivery address to offload the material. If we are unable to offload the material it will be returned to our warehouse. In these circumstance we will charge a second delivery fee before goods are re-sent.

 

Deliveries will generally be made between 8am and 5pm Monday to Friday (excluding bank holidays). From receipt of your paid order (subject to availability of stock), deliveries will usually take between 2 to 3 working days to process. Delivery date will be confirmed as soon as we receive your confirmed order.

 

Deliveries will be made to the address given at the time of the order, any changes must be notified by email at least 24 hours before dispatch is due. Email address for all correspondence is contact@stonerepublic.co.uk.

 

We cannot guarantee delivery dates/times as these may be affected by circumstances beyond our control. We will do our best to contact you if we are forewarned of any delays.

If delivery agents are unable to gain access to the delivery address goods will be returned to our warehouse. In these circumstance we will charge a second delivery fee before goods are re-sent.

 

Restricted Access

Deliveries will usually be made on a large lorry so it is very important that you tell us if there are any access restrictions at the delivery site. Failure to notify us in advance of access restrictions may delay your delivery and result in you incurring additional charges.

 

Delivery Day

You will usually receive a call from the haulage company on the day of the delivery to let you know what time to expect them to arrive. It is your responsibility to ensure that someone is available to oversee and sign for the delivery. If nobody is on site then the driver will not deliver the goods and you will become liable for re-delivery charges. All goods are checked by our staff before dispatch and must also be thoroughly checked by the Purchaser at the time of delivery. You are responsible for examining goods on arrival and any damage, shortages or other discrepancies must be marked on the delivery note and reported to us within 24 hours along with photographic evidence in the case of damage.

 

Refusal of Goods

Due to the variation which occurs with natural stone, ceramic, porcelain, decorative & glazed materials we cannot guarantee that the goods we deliver will exactly match any samples we have sent you. We strongly recommend that you come to our warehouse to inspect goods prior to confirming your order. If goods are refused for any reason other than that they are damaged then a re-stocking fee of 25% will be charged along with the delivery fee. Any balance will be paid by way of a credit note which will be redeemable against any materials/services you require from Stone Republic now or in the future.

 

Late Delivery

If for any reason we are unable to dispatch your goods on the agreed date we will let you know as soon as possible. Once we have dispatched the goods into the care of the haulage company it is rare but possible that factors beyond our control could mean that your goods are not delivered on the agreed date. In this event we will do everything possible to re-arrange delivery of your goods as soon as possible but we will not accept any responsibility or liability for any costs or inconvenience you may incur as a result of the late delivery.
